Terms and Conditions for Ledger

These Terms and Conditions ("Terms") govern your access to and use of Ledger (the "App"), a personal finance and expense tracking application for the Android platform, developed and published by MetroPhoenixIND ("we," "us," "our," or the "Developer"). These Terms constitute a binding agreement between you ("you" or "User") and MetroPhoenixIND.

By downloading, installing, accessing, or using Ledger, you agree to be bound by these Terms. If you do not agree to these Terms, do not download, install, or use the App.

1. Acceptance of Terms

By downloading, installing, accessing, or using Ledger in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated into these Terms by reference. If you are using the App on behalf of another person or entity, you represent that you have the authority to bind that person or entity to these Terms.

If you do not agree with any part of these Terms, you must not access or use the App.

5. SMS Permissions

Ledger's automatic transaction detection feature relies on the following Android permissions:

These permissions are used solely to detect and parse SMS messages that appear to originate from banks, card issuers, payment applications, and other financial institutions, in order to automatically identify and record financial transactions on your behalf.

Granting SMS permissions is entirely optional. You are not required to grant READ_SMS and RECEIVE_SMS permissions to use Ledger.

We do not access, use, or process SMS messages for advertising, marketing, profiling, or any purpose unrelated to detecting and recording financial transactions within the App.

6. AI Features

Ledger offers optional, user-initiated artificial intelligence features, including AI-powered transaction categorization and AI-generated spending summaries and financial insights.

6.1 AI Features Are Optional

AI features are not required to use the App's core functionality. You may use Ledger's manual and SMS-based transaction tracking features without ever engaging any AI feature.

6.2 Third-Party AI Provider

Ledger's AI features are powered by Anthropic's Claude AI model. When you use an AI feature, transaction information reasonably necessary to fulfill your request (such as transaction amounts, dates, merchants, descriptions, and categories) may be securely transmitted to Anthropic's Claude API in order to generate a response.

6.3 Accuracy of AI Output

AI-generated content, including categorization suggestions, spending summaries, and financial insights, is generated using automated, probabilistic models and may contain errors, omissions, or inaccuracies. AI-generated responses are provided "as is," without warranty of any kind as to their accuracy, completeness, or reliability.

6.4 Informational Purposes Only

All AI-generated content is provided for informational purposes only and does not constitute financial, investment, tax, accounting, or legal advice. You should independently review, verify, and exercise your own judgment with respect to any AI-generated categorization, summary, insight, or recommendation before relying on it in any way, including for financial decision-making.

By using Ledger, you agree that you will:

8. Financial Disclaimer

Ledger is a personal finance tracking and organizational tool only. It is not, and should not be relied upon as:

Ledger does not hold, transmit, or have custody of your funds. All information, summaries, categorizations, budgets, and insights provided by the App — including those generated using AI — are provided for informational and organizational purposes only.

You remain solely and exclusively responsible for all of your financial decisions. You should consult a qualified, licensed professional before making significant financial, investment, or tax-related decisions. Your use of Ledger does not create any fiduciary, advisory, or professional relationship between you and MetroPhoenixIND.

9. Accuracy of Information

Ledger relies on automated processes to detect, extract, and categorize financial information, and these processes have inherent limitations:

You are responsible for periodically reviewing your transactions, categories, budgets, and financial records within the App for accuracy, and for correcting any errors you identify. We do not guarantee the completeness or accuracy of any data displayed within the App, whether entered manually, detected via SMS, or generated by AI.

10. Data Storage

Your account and transaction data is stored using Google Firebase, including Firebase Authentication and Cloud Firestore.

You acknowledge and accept the inherent risks associated with storing data electronically and agree that your use of the App, and any transmission or storage of data through it, is at your own risk.

11. Intellectual Property

The Ledger application, including its source code, branding, logos, graphics, user interface, text, design elements, and underlying software (collectively, the "Intellectual Property"), is and remains the exclusive property of MetroPhoenixIND, protected by applicable copyright, trademark, and other intellectual property laws.

These Terms do not grant you any ownership interest in the App or its Intellectual Property. Subject to your compliance with these Terms, MetroPhoenixIND grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App for your own personal, non-commercial use on a compatible Android device.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the App or any of its Intellectual Property, except as expressly permitted by these Terms or applicable law.

12. Prohibited Uses

In addition to the responsibilities set out in Section 7, you agree not to use Ledger to:

To the maximum extent permitted by applicable law, MetroPhoenixIND, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or financial loss of any kind, arising out of or in connection with your access to or use of, or inability to access or use, the App, including but not limited to:

To the maximum extent permitted by applicable law, MetroPhoenixIND's total aggregate liability arising out of or relating to these Terms or your use of the App shall not exceed the amount, if any, that you paid to MetroPhoenixIND for use of the App in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the limitations in this Section may not apply to you to the extent prohibited by applicable law.

You agree to indemnify, defend, and hold harmless MetroPhoenixIND and its officers, employees, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

Each of these third-party services is governed by its own terms of service and privacy policy, which are separate from and independent of these Terms. We encourage you to review the applicable terms and privacy policies of Google, Firebase, and Anthropic. We are not responsible for the practices, availability, or performance of these third-party services, except as otherwise required by applicable law.

17. Termination

We may suspend or terminate your access to Ledger, in whole or in part, at any time, with or without prior notice, if we reasonably believe that:

You may also stop using the App and delete your account at any time, as described in our Privacy Policy.

We may update or modify these Terms from time to time to reflect changes in the App's functionality, our practices, or applicable legal requirements. When we make changes, we will update the "Last Updated" date at the top of these Terms.

Your continued access to or use of Ledger after any such changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.

19. Governing Law

These Terms, and any dispute arising out of or in connection with them or your use of the App, shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India, and you consent to the personal jurisdiction of such courts.
