Terms and Conditions for Ledger

These Terms and Conditions ("Terms") govern your access to and use of Ledger (the "App"), a personal finance and expense tracking application for the Android platform, developed and published by MetroPhoenixIND ("we," "us," "our," or the "Developer"). These Terms constitute a binding agreement between you ("you" or "User") and MetroPhoenixIND.

By downloading, installing, accessing, or using Ledger, you agree to be bound by these Terms. If you do not agree to these Terms, do not download, install, or use the App.

1. Acceptance of Terms

By downloading, installing, accessing, or using Ledger in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated into these Terms by reference. If you are using the App on behalf of another person or entity, you represent that you have the authority to bind that person or entity to these Terms.

If you do not agree with any part of these Terms, you must not access or use the App.

2. Eligibility

To use Ledger, you must:

• Be legally capable of entering into a binding agreement under the laws applicable to you;
• Not be prohibited from using the App under the laws of your jurisdiction or any other applicable law or regulation;
• Comply with these Terms and all applicable local, state, national, and international laws and regulations in connection with your use of the App.

If you do not meet these requirements, you may not use Ledger.

3. User Accounts

3.1 Google Sign-In Required

Ledger requires you to sign in using Google Sign-In in order to create and access your account. You must have a valid Google account in good standing to use the App.

3.2 Account Responsibility

You are solely responsible for:

• Maintaining the confidentiality and security of your Google account credentials;
• Restricting access to your device and your Google account;
• All activities that occur through your Ledger account, whether or not authorized by you.

You agree to notify us promptly if you become aware of any unauthorized access to or use of your account. We are not responsible for any loss or damage arising from your failure to safeguard your Google account credentials or your device.

4. App Features

Ledger provides the following features to help you manage your personal finances:

• Expense Tracking – recording, categorizing, and reviewing your expenses;
• Income Tracking – recording and reviewing sources of income;
• SMS Transaction Detection – automatic detection and parsing of financial transaction notifications from bank and financial institution SMS messages;
• Manual Transactions – the ability to manually create, edit, and manage transactions;
• Budgeting – setting and monitoring budgets across categories and time periods;
• Analytics and Summaries – visual and statistical summaries of your spending and income patterns;
• AI-Powered Categorization – optional, AI-assisted suggestions for categorizing transactions;
• AI-Generated Insights – optional, AI-generated spending summaries and financial insights.

We may add, modify, suspend, or remove features of the App at any time, with or without notice, in our sole discretion. We do not guarantee that any specific feature will remain available in its current form indefinitely.

5. SMS Permissions

Ledger's automatic transaction detection feature relies on the following Android permissions:

• READ_SMS
• RECEIVE_SMS

5.1 Purpose

These permissions are used solely to detect and parse SMS messages that appear to originate from banks, card issuers, payment applications, and other financial institutions, in order to automatically identify and record financial transactions on your behalf.

5.2 Permissions Are Optional

Granting SMS permissions is entirely optional. You are not required to grant READ_SMS and RECEIVE_SMS permissions to use Ledger.

5.3 Effect of Disabling SMS Permissions

If you decline to grant, or later revoke, these permissions:

• Automatic detection of transactions from SMS messages will be disabled;
• You may continue to use all manual features of the App, including manually creating and managing transactions, budgets, and reports.

5.4 No Use for Advertising or Marketing

We do not access, use, or process SMS messages for advertising, marketing, profiling, or any purpose unrelated to detecting and recording financial transactions within the App.

6. AI Features

Ledger offers optional, user-initiated artificial intelligence features, including AI-powered transaction categorization and AI-generated spending summaries and financial insights.

6.1 AI Features Are Optional

AI features are not required to use the App's core functionality. You may use Ledger's manual and SMS-based transaction tracking features without ever engaging any AI feature.

6.2 Third-Party AI Provider

Ledger's AI features are powered by Anthropic's Claude AI model. When you use an AI feature, transaction information reasonably necessary to fulfill your request (such as transaction amounts, dates, merchants, descriptions, and categories) may be securely transmitted to Anthropic's Claude API in order to generate a response.

6.3 Accuracy of AI Output

AI-generated content, including categorization suggestions, spending summaries, and financial insights, is generated using automated, probabilistic models and may contain errors, omissions, or inaccuracies. AI-generated responses are provided "as is," without warranty of any kind as to their accuracy, completeness, or reliability.

6.4 Informational Purposes Only

All AI-generated content is provided for informational purposes only and does not constitute financial, investment, tax, accounting, or legal advice. You should independently review, verify, and exercise your own judgment with respect to any AI-generated categorization, summary, insight, or recommendation before relying on it in any way, including for financial decision-making.

7. User Responsibilities

By using Ledger, you agree that you will:

• Provide accurate, current, and complete information when using the App, including when manually entering transactions or account details;
• Use the App only for lawful purposes and in compliance with all applicable laws and regulations;
• Not attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App, except to the extent such restriction is prohibited by applicable law;
• Not attempt to interfere with, disable, circumvent, or compromise any security feature, access control, or authentication mechanism of the App;
• Not misuse, abuse, or attempt to disrupt the App, its infrastructure, or the services (including Firebase and Anthropic Claude) it relies upon;
• Not use the App to store, transmit, or process unlawful, fraudulent, or infringing content or data.

Violation of this Section may result in suspension or termination of your access to the App, as described in Section 17.

8. Financial Disclaimer

Ledger is a personal finance tracking and organizational tool only. It is not, and should not be relied upon as:

• A bank or deposit-taking institution;
• A financial institution, payment processor, or money transmitter;
• A certified, licensed, or registered financial advisor, planner, or broker;
• A provider of investment advice or investment recommendations;
• A provider of tax advice, tax preparation services, or tax filings;
• A guarantor of any particular financial outcome, savings result, or budgeting result.

Ledger does not hold, transmit, or have custody of your funds. All information, summaries, categorizations, budgets, and insights provided by the App — including those generated using AI — are provided for informational and organizational purposes only.

You remain solely and exclusively responsible for all of your financial decisions. You should consult a qualified, licensed professional before making significant financial, investment, or tax-related decisions. Your use of Ledger does not create any fiduciary, advisory, or professional relationship between you and MetroPhoenixIND.

9. Accuracy of Information

Ledger relies on automated processes to detect, extract, and categorize financial information, and these processes have inherent limitations:

• SMS Parsing Limitations: Automatic transaction detection depends on the format and structure of SMS messages sent by your bank or financial institution. Parsing accuracy may vary between institutions and message formats.
• Changing SMS Formats: Banks and financial institutions may change the format, wording, or structure of their SMS notifications at any time, without notice to us, which may cause transactions to be missed, misread, or inaccurately parsed.
• Categorization Errors: Automatic and AI-assisted categorization of transactions is based on pattern matching and automated inference and may be incorrect or inconsistent with how you would categorize a given transaction.
• AI Inaccuracies: AI-generated categorizations, summaries, and insights may contain mistakes, omissions, or inaccuracies, as described in Section 6.

You are responsible for periodically reviewing your transactions, categories, budgets, and financial records within the App for accuracy, and for correcting any errors you identify. We do not guarantee the completeness or accuracy of any data displayed within the App, whether entered manually, detected via SMS, or generated by AI.

10. Data Storage

Your account and transaction data is stored using Google Firebase, including Firebase Authentication and Cloud Firestore.

• Your ability to access your data is tied to your ability to access your Google account. You are responsible for maintaining access to your Google account, and loss of access to that account may result in loss of access to your Ledger data.
• We take reasonable, industry-standard measures to protect the confidentiality, integrity, and security of your data. However, no method of electronic storage or transmission is completely secure, and we cannot guarantee the absolute security of your data against unauthorized access, loss, misuse, or alteration.

You acknowledge and accept the inherent risks associated with storing data electronically and agree that your use of the App, and any transmission or storage of data through it, is at your own risk.

11. Intellectual Property

The Ledger application, including its source code, branding, logos, graphics, user interface, text, design elements, and underlying software (collectively, the "Intellectual Property"), is and remains the exclusive property of MetroPhoenixIND, protected by applicable copyright, trademark, and other intellectual property laws.

These Terms do not grant you any ownership interest in the App or its Intellectual Property. Subject to your compliance with these Terms, MetroPhoenixIND grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the App for your own personal, non-commercial use on a compatible Android device.

You may not copy, modify, distribute, sell, lease, sublicense, or create derivative works based on the App or any of its Intellectual Property, except as expressly permitted by these Terms or applicable law.

12. Prohibited Uses

In addition to the responsibilities set out in Section 7, you agree not to use Ledger to:

• Engage in any unlawful, fraudulent, or deceptive activity;
• Attempt to gain unauthorized access to the App, other users' accounts or data, or any related systems, servers, or networks;
• Upload, transmit, or distribute any virus, malware, or other harmful or disruptive code;
• Copy, reproduce, or redistribute the App, in whole or in part, outside of the license granted in Section 11;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Interfere with, disrupt, or place an unreasonable burden on the App, its infrastructure, or the third-party services (including Firebase and Anthropic Claude) it depends upon;
• Use any automated means (bots, scrapers, or similar tools) to access or interact with the App without our prior written consent.

We reserve the right to investigate and take appropriate action, including suspension or termination of access, against any User who violates this Section.

13. Service Availability

We aim to keep Ledger available and functioning reliably, but we do not guarantee uninterrupted or error-free operation. You acknowledge and agree that:

• The App may occasionally be unavailable due to maintenance, updates, technical issues, or factors outside our control;
• Scheduled or unscheduled maintenance may temporarily limit or suspend access to some or all features;
• Features may be modified, added, or removed at our discretion, as described in Section 4;
• We may discontinue the App, or any part of it, at any time, with or without prior notice, without liability to you.

14. Limitation of Liability

To the maximum extent permitted by applicable law, MetroPhoenixIND, its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or financial loss of any kind, arising out of or in connection with your access to or use of, or inability to access or use, the App, including but not limited to:

• Financial losses of any kind resulting from your use of, or reliance on, the App;
• Inaccurate, incomplete, or misleading AI-generated output;
• Incorrect, incomplete, or failed SMS parsing or transaction detection;
• Missed, delayed, duplicated, or misclassified transactions;
• Device malfunction, failure, loss, or damage;
• Outages, errors, or interruptions of third-party services, including Google Firebase, Firebase Authentication, Cloud Firestore, or Google services generally;
• Outages, errors, interruptions, or unavailability of Anthropic's Claude API or related AI services;
• Any other third-party service outage or failure beyond our reasonable control.

To the maximum extent permitted by applicable law, MetroPhoenixIND's total aggregate liability arising out of or relating to these Terms or your use of the App shall not exceed the amount, if any, that you paid to MetroPhoenixIND for use of the App in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the limitations in this Section may not apply to you to the extent prohibited by applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless MetroPhoenixIND and its officers, employees, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your misuse of the App;
• Your violation of these Terms;
• Your violation of any applicable law or the rights of any third party in connection with your use of the App.

This obligation shall survive the termination of your access to the App and these Terms.

16. Third-Party Services

Ledger integrates with, and relies upon, the following third-party services to provide its functionality:

• Google Sign-In – for account authentication;
• Firebase Authentication – for secure identity and session management;
• Cloud Firestore – for secure storage of your transaction and account data;
• Anthropic Claude AI – for optional AI-powered categorization, summaries, and insights.

Each of these third-party services is governed by its own terms of service and privacy policy, which are separate from and independent of these Terms. We encourage you to review the applicable terms and privacy policies of Google, Firebase, and Anthropic. We are not responsible for the practices, availability, or performance of these third-party services, except as otherwise required by applicable law.

17. Termination

We may suspend or terminate your access to Ledger, in whole or in part, at any time, with or without prior notice, if we reasonably believe that:

• You have violated these Terms;
• You have misused the App or engaged in conduct prohibited under Section 12;
• Your continued access poses a risk to MetroPhoenixIND, other users, or the App's infrastructure or third-party service providers.

Upon termination, your right to use the App will immediately cease. Sections of these Terms that by their nature should survive termination (including Sections 8, 11, 14, 15, 19, and 20) shall survive.

You may also stop using the App and delete your account at any time, as described in our Privacy Policy.

18. Changes to the Terms

We may update or modify these Terms from time to time to reflect changes in the App's functionality, our practices, or applicable legal requirements. When we make changes, we will update the "Last Updated" date at the top of these Terms.

Your continued access to or use of Ledger after any such changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the App.

19. Governing Law

These Terms, and any dispute arising out of or in connection with them or your use of the App, shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts located in Hyderabad, Telangana, India, and you consent to the personal jurisdiction of such courts.
